1. Introduction

This website at yuacgroup.com (the "site") is operated by Yuac Group Ltd ("Yuac Group", "we", "us" or "our"), a company registered in England and Wales.

By browsing the site or instructing us to carry out work on your behalf, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, please do not use the site or engage our services.

2. Definitions

"Services" means any strategy, growth or digital transformation consulting services we agree to provide, as set out in a proposal, statement of work or engagement letter. "Client" means the business or individual who instructs us to provide Services. "Content" means text, graphics, logos and other material appearing on the site.

3. Use of this website

You may view and browse the site for lawful, personal or internal business purposes. You must not:

  • use the site in any way that causes, or is likely to cause, the site or access to it to be interrupted, damaged or impaired;
  • attempt to gain unauthorised access to the site, the server on which it is hosted, or any server, computer or database connected to it;
  • use the site to transmit or distribute a virus, trojan, worm or other harmful component;
  • copy, reproduce, republish or redistribute Content from the site for commercial purposes without our prior written consent.

We aim to keep the site accurate and available, but we do not guarantee that it will be uninterrupted, error-free, or free of viruses or other harmful components, and we accept no liability for any loss arising from your use of, or inability to use, the site.

4. Intellectual property

Unless otherwise stated, we own or hold the relevant licence to use the intellectual property rights in the site and the Content, including text, graphics, logos and the overall design. These works are protected by copyright and other intellectual property laws.

5. Engaging our services

Enquiries made through the site or by email do not, on their own, create a contract between you and Yuac Group. A binding engagement is formed only once we have issued a written proposal, statement of work or engagement letter setting out the scope, fees and timeline, and you have accepted it (in writing or by instructing us to proceed).

Where these terms conflict with a specific engagement letter or statement of work agreed between us, the specific document takes precedence for that engagement.

6. Fees and payment

Fees for Services will be set out in the relevant proposal or engagement letter, together with the applicable payment schedule. Unless stated otherwise:

  • invoices are payable within 14 days of the invoice date;
  • fees are quoted exclusive of VAT, which will be added where applicable;
  • reasonable, pre-agreed expenses incurred in delivering the Services may be billed in addition to fees;
  • we reserve the right to charge interest on overdue amounts and to suspend work on any engagement where payment is significantly overdue.

7. Client responsibilities

To deliver the Services effectively, we rely on the Client to provide timely access to relevant information, personnel and decision-makers, and to ensure that information provided to us is accurate and complete to the best of the Client's knowledge. Delays in providing this may affect timelines and, where material, fees.

8. Confidentiality

Each party agrees to keep confidential any non-public business, financial, technical or strategic information disclosed by the other in connection with an engagement, and to use it only for the purpose of that engagement. This obligation does not apply to information that is already public, was already known to the receiving party, or is required to be disclosed by law or regulation.

9. Liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to the above, we shall not be liable for any indirect or consequential loss, or for loss of profits, revenue, business opportunity or goodwill, arising out of or in connection with the site or the Services. Our total liability arising out of a given engagement shall not exceed the total fees paid by the Client under that engagement in the 12 months preceding the claim, save where a different position is agreed in the relevant engagement letter.

10. Termination

Either party may terminate an engagement in accordance with the notice period set out in the relevant proposal or engagement letter. On termination, the Client remains liable for fees and expenses properly incurred up to the effective date of termination.

11. Third-party links

The site may contain links to third-party websites. These are provided for convenience only. We have no control over, and accept no responsibility for, the content, accuracy or availability of any linked third-party site.

12. Governing law

These terms, and any dispute arising out of or in connection with them or their subject matter, are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, save where a specific engagement letter provides otherwise.

13. Changes to these terms

We may update these terms from time to time to reflect changes in our services or legal requirements. The version published on this page is the version in effect; material changes affecting an active engagement will be communicated directly to the Client.
